Introduction

Welcome to Facify, the app provided by Mira (hereinafter "Mira", "we", or "us"). Facify (hereinafter "App") is accessible through our platform integrated into our mobile applications. For your convenience as a user of the Services, you shall be referred to as "you", "your", or "User".

These Terms of Use ("Terms") establish the terms and conditions under which you may create an account, access, and use the platform, services, content, products, applications, and websites operated by Mira (collectively referred to as the "Services"), as well as purchase certain content offered through the Services as in-app purchases.

If you are under 13 years of age (or the age of majority in your jurisdiction), you may use the Services only with the consent of your parent or legal guardian. Please ensure that your parent or legal guardian has reviewed and discussed these Terms with you.

These Terms, together with Mira's Subscription Policy (available at miramobileapps.com/subscription-policy), form a legally binding agreement between you and us. We strongly encourage you to review these Terms before using the Services to avoid any confusion related to their enforcement by Mira. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, DO NOT USE (OR IMMEDIATELY CEASE TO USE) OUR SERVICES.

1. Acceptance

1.1. By accessing and/or using the Services, you confirm that you agree to comply with these Terms and that you have the legal capacity to enter into a binding agreement with Mira.

1.2. Your use of the Services is also subject to Mira's Privacy Policy (available at privacy-policy). By using the Services, you consent to the terms of Mira's Privacy Policy.

1.3. If you are accessing and/or using the Services on behalf of a legal entity, you hereby warrant and represent that:

• (i) You are an authorized legal representative of the respective legal entity;
• (ii) You are legally authorized to enter into a binding agreement with Mira on behalf of such entity; and
• (iii) You agree to comply with these Terms on behalf of such entity;
• (iv) The legal entity you represent operates a lawful business in accordance with applicable laws.

1.4. Modifications to these Terms will become effective immediately upon notice provided:

• (i) By posting on Mira's website (available at miramobileapps.com);
• (ii) By email notification; or
• (iii) Through any of our applications.

1.5. It is your responsibility to review the Terms periodically for any changes. Your continued access and use of the Services following any modification of these Terms signifies your assent to and acceptance of the same. If you object to any subsequent revision to the Terms, immediately discontinue the use of our Services and, if applicable, terminate your account.

2. Access and Use Limitations

2.1. Unless specifically authorized by Mira, the Services are provided for your personal, non-commercial use only. Mira may offer certain portions of the Services at no charge, for a one-time fee, on a subscription basis, or under any other lawful pricing structure. In all cases, you are purchasing or being granted a limited license to use the Services.

2.2. Mira reserves the right to grant a license for and authorize commercial use of the Services to legal entities acting as Users under these Terms through a separate agreement. "Commercial use" refers to any use where the User benefits financially or gains any commercial advantage from using the Services.

2.3. Unless specifically provided otherwise, the use of any of our paid Services does not transfer across operating systems and/or different equipment (e.g., mobile devices, computers, etc.).

2.4. When using our Services, you agree to comply with all applicable laws, including copyright laws. You may not use, reproduce, modify, or distribute any content from the Services without obtaining prior written consent from us or, in the case of third-party content, its applicable owner.

2.5. Furthermore, except as expressly permitted under these Terms, you may not:

• (i) Access or use the Services if you do not have the legal capacity to agree to these Terms or you are not authorized to use the Services by your parent or legal guardian;
• (ii) Remove or alter any copyright or trademark notices included in the Services;
• (iii) Transfer, distribute, or sell the Services or any derivative works thereof;
• (iv) Use the Services for any commercial purposes without authorization;
• (v) Use the Services to distribute spam or any unauthorized advertising;
• (vi) Circumvent, disable, or interfere with the security features of the Services;
• (vii) Use automated means to access the Services without Mira's express written permission;
• (viii) Collect personal information from other users without their consent;
• (ix) Engage in any conduct that restricts or inhibits other users from using the Services.

3. Service Content

3.1. All content available through the Services, including but not limited to software, images, text, graphics, and other materials ("Service Content"), is owned or licensed by Mira. Use of the Service Content for any purpose not expressly permitted by these Terms is strictly prohibited.

3.2. You are granted a non-exclusive, limited, non-transferable, non-sublicensable, revocable license to access and use the Services and Service Content for your personal, non-commercial use, in compliance with these Terms. This includes the ability to download, copy, or share the content non-commercially.

3.3. Any rights to audio and/or music files and/or recordings available through the Services may not be licensed without the prior written consent of the respective rights holders.

3.4. You acknowledge that Mira may generate revenue through your use of the Services, and you have no right to such revenue unless otherwise specified in these Terms.

3.5. Mira reserves the right to terminate your license to access and use the Services at any time.

4. User-Generated Content

4.1. Users may upload or transmit content through the Services ("User Content"). You are responsible for ensuring that your User Content complies with these Terms and any applicable laws.

4.2. By submitting User Content, you grant Mira a broad license to use, modify, and distribute your content across various platforms, provided it is done in accordance with these Terms.

4.3. Mira reserves the right to remove User Content that infringes on intellectual property rights or violates these Terms.

5. Payments and Subscriptions

5.1. Payments for Services, in-app purchases, and subscriptions are non-refundable unless otherwise specified by Mira.

5.2. Virtual items and currency within the app have no real-world value and cannot be exchanged for real money or other tangible goods.

6. Limitation of Liability

6.1. Mira does not specify any cap on liability in these Terms. Any liabilities will be determined in accordance with applicable laws.

6.2. Mira is not liable for any indirect or consequential losses, including loss of profit, data, goodwill, or other intangible losses.

6.3. Mira is not liable for any damages arising from your use of the Services, except where such exclusions are not permitted by law.

7. Dispute Resolution and Arbitration

7.1. Disputes between you and Mira will be resolved through binding arbitration, not in court, unless you opt out within 30 days of first using the Services.

7.2. All disputes must be brought on an individual basis, not as part of a class action.

8. Miscellaneous

8.1. These Terms are governed by the laws of the United States. Any legal proceedings will take place in U.S. courts.

8.2. If any part of these Terms is found to be unlawful or unenforceable, the remaining provisions will remain in effect.

8.3. Mira may assign its rights and obligations under these Terms without your consent.
